Dogwood Health Trust Announces Request for Proposals for Independent Monitor Services

Proposals will be accepted from Jan. 2, 2024 – Feb. 6, 2024

Asheville, N.C. – Dogwood Health Trust announced today a request for proposals (RFP) from qualified organizations to provide independent monitor services to oversee HCA Healthcare’s compliance with its commitment to provide quality healthcare across Western North Carolina. A change in the scope of work for the Independent Monitor (IM) has prompted the need for Dogwood to seek proposals from qualified firms. Dogwood posted the RFP and details related to the submission and timeline to its website on Jan. 2, 2024, and will accept proposals through 5:00 p.m. on Feb. 6, 2024. The selection of a specific awardee is anticipated to be announced by April 1, 2024. 

As part of the sale of Mission Health to HCA, HCA made 15 post-closing commitments captured in an asset purchase agreement (APA). The APA established the role of the IM to monitor and advise Dogwood regarding those commitments. As the Seller Representative, Dogwood selects the IM, subject to consent by HCA and the North Carolina Attorney General.

“The IM’s role as advisor to Dogwood is critically important to our oversight of HCA’s commitments under the APA,” said Dr. Susan Mims, CEO of Dogwood Health Trust. “Dogwood relies on the IM’s ability to evaluate all aspects of compliance with HCA’s commitments including actively engaging with and listening to the community in order to lift up any issues of potential non-compliance.”

The scope of work for the IM includes four primary categories of responsibilities including HCA’s annual report evaluation, community engagement and education, engagement with the Attorney General’s Office (AGO), and continuous compliance evaluation and other activities. The IM will be expected to maintain regular and collaborative communications with Dogwood.

Following the evaluation of written proposals, Dogwood may conduct in-person interviews with applicants. The final selection of the proposer for independent monitor services is expected to be announced by April 1, 2024.
